
Corporate / Transactional Paralegal Our client, a large privately held company located in an adjoining Pittsburgh community, is seeking a corporate/transactional paralegal for their busy and growing legal department. The ideal candidate will possess a bachelor’s degree and paralegal certificate, will have 5+ years of general corporate and corporate governance and compliance experience, preferably from within a corporate legal department (large law firm experience may also be considered), and will be well versed with automated contract management systems. The selected paralegal will support the General Counsel’s Office on corporate governance, general corporate and transactional matters, as well as litigation management, human resources and real estate-related matters. Specific responsibilities will include preparing and organizing information for various meetings, including board of director and board committee meetings, drafting agendas, drafting meeting minutes, and assisting in the maintenance of corporate records. They will also include drafting and reviewing contracts and vendor agreements, preparing documents for mergers and acquisitions, assisting in closing transactions and handling post-closing administration requirements. The successful candidate will be highly-motivated and self-directed with proven attention to detail and organization. Excellent verbal and written communication skills, the ability to work under pressure and to handle multiple tasks simultaneously, and superior research skills are required.
